Terms of Service

These Terms of Service ("Terms") govern your access to and use of Studio Labs ("Service"), operated by CRUCiBLE CAPiTAL SYSTEMS LLC ("Company," "we," "us," or "our"). By requesting our services, creating an account, or accepting a project proposal, you agree to these Terms.

1. Services Provided

Studio Labs provides web design, web development, mobile app development, AI chatbot development, hosting management, and related digital services to businesses and individuals. The specific scope, timeline, and pricing for each engagement are defined in the project proposal or agreement you receive prior to starting work.

2. Account Registration

Clients may register for a Studio Labs account to access the client portal, view project status, download deliverables, and manage invoices. You are responsible for maintaining the security of your login credentials. Notify us immediately at shawwe@alumni.vcu.edu if you suspect unauthorized access.

3. Payment Terms

All project engagements require a deposit of 50% of the total project cost before work begins. The remaining balance is due upon project completion and before final files are delivered or the site goes live. Monthly hosting and management fees are billed in advance on a recurring basis.

Invoices not paid within 14 days of the due date may result in a pause on project work. For recurring plans, non-payment within 7 days of the billing date may result in service suspension.

4. Project Scope and Revisions

The scope of work is defined in your project proposal. Each project tier includes a defined number of revision rounds. Revisions requested beyond the included rounds, or changes to the project scope after work has begun, may be subject to additional fees. We will notify you before performing any out-of-scope work that carries an additional cost.

5. Your Content and Intellectual Property

Client-Provided Materials

You retain ownership of all content, images, logos, and other materials you provide to us. By providing these materials, you represent that you have the right to use them and that their use in your project does not infringe any third-party rights. You agree to indemnify us against any claims arising from client-provided content.

Deliverables

Upon receipt of final payment, you receive full ownership of the completed deliverables (website files, app code specific to your project, custom design assets). Studio Labs retains the right to display completed projects in our portfolio and marketing materials unless you request otherwise in writing.

Platform and Framework Code

Third-party frameworks, libraries, templates, and tools used in your project are subject to their respective open-source or commercial licenses. Ownership of these components is not transferred to you; they are used under their applicable licenses.

AI Chatbot Services

AI chatbot products built for you rely on third-party AI APIs (such as Anthropic Claude). The underlying AI models remain the property of their respective providers. You own your chatbot's configuration, training data, and custom content.

6. Hosting and Management Plans

Monthly hosting and management plans provide ongoing services including domain management, SSL, hosting, site updates, and support as described in the plan tier. Plans require an active Studio Labs-built website. Plans may be cancelled with 30 days' written notice. Cancellation does not entitle you to a refund of the current billing period. We reserve the right to adjust plan pricing with 30 days' advance notice.

7. Acceptable Use

You agree not to use Studio Labs services to build or host content that:

Violates any applicable federal, state, or local law
Promotes illegal activity, violence, or discrimination
Infringes any third-party intellectual property rights
Distributes malware or engages in phishing or fraud
Violates the terms of any hosting platform or third-party service we use on your behalf

We reserve the right to suspend or terminate services immediately for violations of this section.

8. Turnaround Times

Estimated project timelines are provided in good faith and are contingent on timely receipt of client materials, feedback, and approvals. Delays caused by late client responses, unclear direction, or scope changes may extend the estimated timeline. We are not liable for delays caused by third-party services, platforms, or force majeure events.

9. Disclaimer of Warranties

Studio Labs delivers services with professional care and skill. However, we make no warranty that deliverables will achieve specific business outcomes, rankings, conversion rates, or revenue results. Websites and apps are delivered "as built" per the agreed scope. Third-party platforms, APIs, and hosting providers are subject to their own terms and availability.

10. Limitation of Liability

To the fullest extent permitted by law, CRUCiBLE CAPiTAL SYSTEMS LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services, including lost revenue, downtime, or data loss. Our total liability to you for any claim shall not exceed the total amount you paid us for the specific project or service giving rise to the claim.

11. Termination

Either party may terminate a project engagement with written notice. If you cancel a project after work has begun, the deposit is non-refundable, and you will be invoiced for any work completed beyond the deposit amount. If we terminate for your breach of these Terms, any amounts owed for work completed remain due.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Disputes shall be resolved in the state or federal courts of Virginia, and both parties consent to their personal jurisdiction. Before filing any legal claim, you agree to first attempt informal resolution by contacting us at shawwe@alumni.vcu.edu.

13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of Studio Labs services after changes are posted constitutes acceptance.
